- Legal Status and Scope
1.1. These Terms of Sale govern all auctions and post-auction sales conducted by ArtDealio TÜ, a company duly registered in the Republic of Estonia under registry code 17078472, hereinafter referred to as “ArtDealio”.
1.2. All artworks offered for sale are the exclusive property of ArtDealio unless expressly stated otherwise in the auction catalogue.
1.3. Auctions are conducted exclusively online via the Bidspirit platform. The contract of sale is concluded directly between ArtDealio and the successful bidder.
1.4. Participation in an auction constitutes full and unconditional acceptance of these Terms of Sale.
1.5. These Terms are governed by the laws of the Republic of Estonia and applicable legislation of the European Union.
- Definitions
2.1. “Lot” means an individual artwork offered for sale.
2.2. “Hammer Price” means the highest bid accepted at the close of bidding.
2.3. “Buyer’s Premium” means the commission payable by the buyer in addition to the Hammer Price.
2.4. “Final Price” means the total amount payable by the buyer, consisting of the Hammer Price, Buyer’s Premium and any applicable taxes and charges.
- Registration and Eligibility
3.1. Participation is open to natural persons aged 18 years or older and to duly registered legal entities.
3.2. All bidders must register through the Bidspirit platform and provide accurate and complete information.
3.3. ArtDealio reserves the right to refuse, suspend or cancel registration at its sole discretion.
3.4. ArtDealio may require identity verification and supporting documentation in compliance with Estonian law and European Union regulations.
- Catalogue and Condition of Lots
4.1. Descriptions, condition reports and images are provided for informational purposes only.
4.2. ArtDealio exercises reasonable care in preparing descriptions but does not provide warranties regarding completeness or condition.
4.3. Prospective buyers are responsible for requesting additional information prior to bidding.
4.4. All lots are sold in the condition existing at the time of sale.
- Conduct of Auction
5.1. All bidding is conducted in EUR.
5.2. Bidding increments are determined in accordance with the published Increment Table.
5.3. The highest bid acknowledged at the closing of the lot constitutes the Hammer Price.
5.4. ArtDealio reserves the right to withdraw any lot prior to completion of the sale.
5.5. In case of technical malfunction of the online platform, ArtDealio may suspend, restart or cancel bidding.
- Buyer’s Premium and Taxation
6.1. A Buyer’s Premium of 20 percent of the Hammer Price shall be added to the Hammer Price.
6.2. Value Added Tax shall be applied in accordance with the legislation of the Republic of Estonia and applicable EU regulations.
6.3. The tax treatment depends on the buyer’s status, place of residence, and destination of delivery.
- Payment
7.1. Payment of the Final Price must be made within 7 calendar days from the date of invoice issuance.
7.2. Accepted payment methods are bank transfer, credit or debit card, and PayPal.
7.3. Title to the lot transfers to the buyer only upon full receipt of cleared funds.
7.4. In case of non-payment within the prescribed period, ArtDealio reserves the right to cancel the sale and pursue legal remedies.
- Delivery and Risk
8.1. Collection is available in Estonia by prior appointment.
8.2. Shipping arrangements are agreed individually with the buyer.
8.3. Shipping costs, insurance and customs duties are borne by the buyer unless otherwise agreed in writing.
8.4. Risk of loss or damage transfers to the buyer upon delivery to the carrier.
- Export and Import Compliance
9.1. Buyers are responsible for compliance with all export and import regulations.
9.2. ArtDealio may assist with documentation but does not guarantee the issuance of export permits.
- Storage
10.1. Purchased lots must be collected within 30 calendar days following payment.
10.2. After this period, storage fees of 10 EUR per day may apply.
- Returns and Authenticity Claims
11.1. Claims regarding authenticity must be submitted in writing within 30 days of the auction date.
11.2. Such claims must be supported by a written expert opinion from a recognized independent expert or museum authority.
11.3. If a lot is proven not authentic, ArtDealio shall refund the Final Price upon return of the lot in its original condition.
- Limitation of Liability
12.1. ArtDealio’s liability shall not exceed the Final Price paid by the buyer.
12.2. ArtDealio shall not be liable for indirect or consequential damages.
- Data Protection and Dispute Resolution
13.1. Personal data is processed in accordance with the General Data Protection Regulation and Estonian law.
13.2. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Estonia.
